This Agreement is between [AY Solutions Tech LLC] (“Service Provider”) and [Client Name] (“Client”).
1. Scope of Services
The Service Provider agrees to provide the following maintenance and support services for the Client’s website:
– Security updates & patches
– CMS, plugin, and theme updates
– Bug fixes & troubleshooting
– Minor content edits (within agreed limits)
– Performance monitoring and basic optimization
– Uptime and availability monitoring (if hosting included)
Any services outside this scope will require a separate agreement and additional fees.
2. Service Levels (SLA)
- a) Response Times
– Critical issues: Response within 4 business hours
– High priority: Response within 1 business day
– Standard requests: Response within 2–3 business days
b) Resolution Times
Resolution times will vary depending on the complexity of the issue. The Service Provider will keep the Client informed throughout.
3. Maintenance Packages
The Client may choose from:
– Basic Plan – Security patches + minor updates (up to X hours/month)
– Standard Plan – Basic Plan + content updates + priority support (up to X hours/month)
– Premium Plan – Standard Plan + performance optimization + extended support (up to X hours/month)
Additional hours beyond the package limit will be billed at [Your Hourly Rate].
4. Client Responsibilities
Clients must:
– Provide timely access to hosting, domain, and admin credentials.
– Notify the Service Provider promptly of any issues or suspicious activity.
– Maintain backups (unless backup service is included).
5. Fees & Payments
Maintenance fees are billed monthly/quarterly/annually in advance via Stripe. Late payments may result in suspension of services until payment is received. Fees are non-refundable, except as required by law.
6. Term & Termination
This Agreement continues until canceled by either party with 30 days written notice. Services will continue until the end of the paid billing cycle; no partial refunds will be issued.
7. Limitation of Liability
The Service Provider will use best efforts to maintain and secure the website but does not guarantee 100% error-free operation or uptime. Liability is limited to the total fees paid by the Client in the past 3 months.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Your Country/State].
9. Acceptance
By subscribing to a maintenance plan or paying maintenance fees, the Client agrees to the terms of this Agreement.
